1. Introduction & Acceptance

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Applied Intelligence LTD ("we", "us", or "chatpod ai"), a company registered in Israel, governing your access to and use of the chatpod ai platform, including our website at chatpod-ai.com, dashboard, APIs, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Service Description

chatpod ai is an AI-powered e-commerce platform that provides store owners with:

• An AI chat agent that assists your customers with product discovery and support
• A membership club to manage customer relationships and loyalty
• Email and SMS/WhatsApp marketing automations
• A web dashboard for managing your store's AI agent, customers, and campaigns
• Integration with e-commerce platforms such as WooCommerce

3. Account Registration

To use chatpod ai, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

You represent that you have the legal authority to bind the business entity you register on behalf of.

4. Subscription & Payment

The Service may include both free and paid tiers. Pricing, features, and usage limits for each tier are described on our website and may change from time to time.

For paid plans, billing terms (including billing cycle, amount, and payment method) will be communicated to you at the time of purchase. Unless otherwise stated, paid subscriptions renew automatically at the end of each billing period. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

We reserve the right to modify our pricing with reasonable prior notice. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to manipulate, abuse, or exploit the AI agent for purposes unrelated to your store
• Circumvent usage limits, rate limits, or access controls
• Resell, sublicense, or redistribute access to the Service without our written consent
• Interfere with or disrupt the Service or its infrastructure
• Upload or transmit malicious code, spam, or harmful content through the Service

6. Intellectual Property

chatpod ai and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content. Nothing in these Terms grants you ownership of any part of the Service.

You retain all rights to your store data, product content, and customer information that you provide to the Service. By using chatpod ai, you grant us a limited license to use this data solely to operate and improve the Service on your behalf.

7. AI-Generated Content Disclaimer

The chatpod ai agent platform generates responses automatically using third-party AI language models. While we strive for accuracy, AI-generated content is provided strictly on an "as-is" basis. We make no warranties or guarantees regarding the accuracy, completeness, or reliability of any AI-generated response.

chatpod ai is not liable for:

• Inaccurate or misleading product recommendations made by the AI agent
• Lost sales, missed opportunities, or customer dissatisfaction resulting from AI responses
• Business decisions made based on AI-generated output
• Errors, hallucinations, or outdated information in AI responses

You are solely responsible for reviewing and monitoring the AI agent's behavior on your store, and for ensuring that its responses align with your business policies and applicable regulations.

8. Data & Privacy

Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for complying with all applicable privacy and data protection laws in relation to your own customers' data. This includes providing appropriate privacy notices, obtaining necessary consents, and honoring data subject requests from your customers.

9. Service Availability

We strive to keep chatpod ai available at all times, but we do not guarantee uninterrupted or error-free operation. The Service is provided on a best-effort basis.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

10. Account Suspension & Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in illegal activity, or if required by law. We will attempt to notify you before or promptly after taking such action, unless prohibited by law.

You may cancel your account at any time. Upon cancellation, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, chatpod ai and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees paid by you to chatpod ai during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless chatpod ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv-Jaffa, Israel.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service. Your continued use of chatpod ai after such changes constitutes acceptance of the updated Terms.
